Terms and Conditions

I. Introduction

Welcome to MajestyRise, an exclusive international community for leaders seeking meaningful connections, strategic alliances, and personal growth. These Terms and Conditions ("Terms") govern your membership and constitute an agreement designed to foster an environment of authenticity, mutual respect, and discretion, where members can exceed their ambitions. By becoming a member of MajestyRise, you agree to these Terms.

II. Membership

1. 2.1 Admission

   Membership in MajestyRise is offered exclusively by invitation, following a rigorous selection process. The selection committee evaluates prospective members based on their demonstrated leadership, exceptional achievements, strategic vision, integrity, and potential to contribute meaningfully to the MajestyRise community. Only the most ambitious and visionary professionals who embody the values of MajestyRise are eligible for membership.

2. 2.2 Active Participation

   To maintain the dynamism, exclusivity, and value of our community, members are expected to participate actively in MajestyRise. Active participation is defined as attendance at a minimum of one event per quarter. We understand that unforeseen circumstances may arise. If a member is unable to meet the minimum participation requirements, they must notify MajestyRise in a timely manner via membership@majestyrise.com. Failure to meet the minimum participation requirements for two consecutive quarters will result in a written warning and an opportunity to present a plan of action to improve engagement within 30 days. In the absence of such a plan, or if the plan is not successfully implemented, MajestyRise reserves the right to terminate the membership in accordance with Section VII.2.

III. Financial Aspects

1. 3.1 Membership Fee

   MajestyRise membership is a lifetime membership with no recurring dues, subject to compliance with these Terms. A one-time administrative fee of $4,499 is required. This fee covers the costs associated with the initial selection process, member onboarding, membership administration, and investment in the community's infrastructure. In the unlikely event that MajestyRise ceases operations, the administrative fee will not be refunded, as it is used to fund services and infrastructure throughout the membership period. This strategic investment supports the operational costs of the club and guarantees the exclusivity of our community.

2. 3.2 Event Costs

   The costs for participating in MajestyRise events vary depending on the location, duration, and nature of the event, excluding VAT (Value Added Tax) where applicable. Specific costs will be disclosed in advance of registration to allow members to make informed decisions. Payments for events can be made via various secure methods, including international bank transfers and credit cards.

3. 3.3 Alcohol Policy

   MajestyRise strives to provide an environment conducive to strategic connections and personal development. While we understand that social drinking is common in some contexts, we encourage moderation at MajestyRise events. Excessive alcohol consumption that leads to inappropriate behavior is not permitted. Violations of this policy may result in disciplinary action as outlined in Section V.

IV. Privacy and Data

MajestyRise respects your privacy and handles your personal data in accordance with our Privacy Policy and the General Data Protection Regulation (GDPR) and other applicable privacy laws. Members are expected to maintain the confidentiality of all information shared during MajestyRise events. We collect and use your data solely for club-related purposes and will not share it with third parties unless necessary for the organization of MajestyRise and its events, or if legally required.

V. Member Responsibilities

1. 5.1 Code of Conduct

   Members are expected to conduct themselves in accordance with the values of MajestyRise: authenticity, respect, integrity, and discretion. This Code of Conduct is designed to foster a safe and trusted environment for all members and includes the following:

   • Respectful and courteous communication, both online and offline.
   • Compliance with all applicable laws and regulations, including local and international laws.
   • Avoiding conduct that could damage the reputation of MajestyRise or its members.

   Unacceptable behavior includes, but is not limited to:

   • Disseminating inappropriate or offensive remarks or expressions of discrimination based on race, gender, religion, sexual orientation, nationality, disability, or other protected characteristics.
   • The use of illegal drugs or excessive alcohol consumption that disrupts events or harms other members.
   • Misuse of MajestyRise facilities or property.
   • Misuse of confidential information, violation of the privacy of other members, or sharing copyrighted material without permission.

   In the event of a violation of the Code of Conduct, MajestyRise reserves the right to take appropriate disciplinary action, ranging from a written warning to temporary suspension or termination of membership. The severity of the measure will depend on the nature and severity of the violation. Prior to termination of a membership, the member will receive written notice outlining the reasons for the proposed termination and will be given 14 days to respond and provide a defense. VI. Events and Gatherings

1. 6.1 Photo and Video Material

   MajestyRise reserves the right to take photographs and videos during events and to use them for promotional purposes. However, MajestyRise will explicitly request consent from members for the use of their likeness in promotional materials published externally, such as on social media, the website, or in press releases. Members have the right to refuse or withdraw their consent. Members who object to the taking of photos or videos during events should notify MajestyRise in writing prior to the event at membership@majestyrise.com. MajestyRise will make reasonable efforts to comply with such requests.

2. 6.2 Liability for Third Parties

   MajestyRise collaborates with carefully selected partners to ensure an exceptional experience. MajestyRise will make reasonable efforts to ensure the quality and reliability of these partners. However, members are solely responsible for evaluating the services provided by external vendors and for obtaining any necessary insurance. MajestyRise is not liable for damage or loss caused by the actions or omissions of external vendors, except in cases of gross negligence by MajestyRise in the selection of the vendor. Any disputes should be handled directly with the vendor in question.

VII. Termination of Membership

1. 7.1 Voluntary Termination

   Members may terminate their membership at any time by sending written notice to membership@majestyrise.com. While no notice period is required, we appreciate it if you inform us of the reason for your departure, as this helps us improve our services. No refund of the administrative fee will be made upon voluntary termination.

2. 7.2 Termination by MajestyRise

   MajestyRise reserves the right to suspend or terminate a member's membership in the following cases:

   • Failure to comply with these Terms or acting contrary to the core values of MajestyRise.
   • Actions that damage the reputation of MajestyRise or its members, where the burden of proof lies with MajestyRise.
   • Failure to participate actively in the community, in accordance with the criteria described in Section 2.2, and after the warning and opportunity to rectify as described therein.
   • Involvement in fraud, unethical conduct, or other illegal activities that are detrimental to MajestyRise or its members.
   • Bankruptcy, suspension of payments, or other forms of insolvency of the member.

   In the event of a proposed suspension or termination of membership, the individual concerned will be notified in writing of the reasons for the decision, with a period of 14 days to respond and provide a defense. The procedure for lodging an objection is available via membership@majestyrise.com. The final decision on the suspension or termination rests with the management of MajestyRise and will be motivated in writing.

VIII. Liability

1. 8.1 Limited Liability

   MajestyRise is not liable for any damages or injuries sustained by members during events, unless resulting from intentional misconduct or gross negligence by MajestyRise or its employees. "Gross negligence" is defined as an act or omission that constitutes a significant deviation from the diligence that a reasonable person would exercise under the same circumstances, and involves conscious recklessness or gross carelessness. Members are responsible for any damage they cause to other members, third parties, or property of MajestyRise. In no event shall MajestyRise be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or damage to reputation, arising out of or in connection with membership, events, or these Terms, unless such damage is the result of intentional misconduct or gross negligence by MajestyRise.

2. 8.2 Alcohol Policy

   MajestyRise is not responsible or liable for incidents or damage resulting from the alcohol consumption by members during events, unless MajestyRise intentionally or through gross negligence contributed to the occurrence of the damage.

IX. Cancellation Policy

1. 9.1 Cancellation by MajestyRise

   MajestyRise reserves the right to cancel or reschedule events due to unforeseen circumstances. In the event of cancellation by MajestyRise, members will be notified as soon as possible and will receive a full refund of the amount already paid, excluding any bank charges. MajestyRise will make reasonable efforts to find an alternative date or location for the event.

2. 9.2 Cancellation by Members

   Members who have registered for an event and wish to cancel their participation should notify MajestyRise in writing as soon as possible at membership@majestyrise.com. The refund policy is as follows:

   • Cancellation up to four weeks before the event: full refund of the amount paid, excluding any bank charges.
   • Cancellation within four weeks to one week before the event: 50% of the amount paid will be withheld, excluding any bank charges.
   • Cancellation within one week before the event or No-show: no refund, unless there is force majeure, such as serious illness, death of a family member, or other unforeseen circumstances that reasonably make participation impossible. In such cases, a refund may be considered upon submission of the necessary supporting documents.

X. Anti-Discrimination Policy

1. 10.1 Inclusivity

   MajestyRise is committed to an inclusive and diverse community where members with diverse backgrounds and expertise enrich and inspire each other.

2. 10.2 Discrimination Prohibited

   Discrimination based on race, gender, religion, sexual orientation, nationality, age, disability, or other protected characteristics is strictly prohibited. Members who engage in discrimination, harassment, or bullying risk immediate suspension and possible termination of their membership.

XI. Amendments to the Terms

MajestyRise reserves the right to modify these Terms at any time. Members will be notified of any material changes by email at least 30 days in advance and are encouraged to consult regularly the most recent version of the Terms on this page. By continuing to use the MajestyRise membership after the effective date of the amended terms, the member is deemed to have accepted the amended terms.

XII. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE). Any dispute arising out of or in connection with these Terms shall be submitted exclusively to the competent courts of Sharjah, UAE. Our registered address for legal correspondence is: MajestyRise, 123 Virtual Office Street, Sharjah, UAE.

XIII. Dispute Resolution

MajestyRise values constructive dialogue in the event of disputes. Before initiating formal legal proceedings, the parties shall endeavor to settle any dispute amicably through mediation. The mediation will take place in Sharjah, UAE, and the costs will be shared equally between the parties. If mediation does not lead to a resolution within 60 days, the parties are free to resort to the competent court as determined in Section XII.

XIV. Intellectual Property

Members retain copyright to their presentations and contributions. By participating in MajestyRise events, members grant MajestyRise a non-exclusive, royalty-free, worldwide license to use their contributions for promotional, educational, and archival purposes, with attribution. MajestyRise will respect the integrity of the contributions and will not modify or adapt them without the member's consent. Members are expressly prohibited from distributing, publishing, or commercially exploiting the intellectual property of MajestyRise or other members without written permission.

XV. Compliance with Legislation

Both MajestyRise and its members must comply with all applicable laws and regulations, including, but not limited to, anti-bribery laws (such as the UK Bribery Act and the US Foreign Corrupt Practices Act), sanction regulations, and export control laws. Members warrant that they will not engage in activities that violate these laws. MajestyRise reserves the right to screen members for compliance with international sanctions and other relevant legislation. If MajestyRise has reasonable grounds to believe that a member is acting in violation of this legislation, MajestyRise reserves the right to suspend the membership immediately, pending an investigation.

XVI. Travel and Insurance

Members are responsible for obtaining all necessary visas and travel documents for participation in events. Members should inquire about the applicable health regulations and vaccinations for the destination of the event. Participation in events is at your own risk and MajestyRise is not liable for loss, theft, or damage to personal property. Members are advised to take out travel and liability insurance. MajestyRise advises members to take out travel insurance that also covers cancellation or interruption of the trip.

XVII. Exclusion of Warranty

MajestyRise makes no warranties, either express or implied, with respect to the results of membership, the quality of networking opportunities, or the success of individual members. The membership is offered on an "as is" and "as available" basis. However, MajestyRise will endeavor to organize high-quality events and networking opportunities, and to create a professional and supportive community. MajestyRise reserves the right to adapt the content and format of events to the needs of the members and the circumstances.

XVIII. Use of the Network

Members agree to use the MajestyRise network solely for lawful and professional purposes. Members are prohibited from sending spam, unsolicited advertising, or other forms of unwanted communication to other members. It is also prohibited to use the network for political or religious propaganda, or for the dissemination of false or misleading information. MajestyRise reserves the right to monitor and terminate access to the network for violations of these Terms.

XIX. Quality Control

MajestyRise is committed to maintaining the quality of its events and community. We reserve the right to deny access to events or membership to persons who engage in conduct that is detrimental to the atmosphere or values of the community.
